Forms of Organization for High-Growth New Business Ventures Workshop - Congratulations, you are thinking about starting a high growth new business venture. But do you know which entity is best for you? S Corporation or C Corporation or LLC? Which entity is preferred by angel investors? Venture investors? Should you organize in Missouri, or Kansas, or Delaware?

The workshop will focus on the practical choices entrepreneurs must make, not arcane or theoretical issues. This workshop will give you a solid understanding of the various entity choices available to you and which entity types make the most sense for you and your investors. It will provide some basics on each entity and review factors that favor each entity type. The workshop will also include a review and discussion around the practical tax implications of each - which can be quite substantial.

The workshop will be presented by Polsinelli Shughart PC attorneys Greg Kratofil, Cortney Mendenhall and Erik Edwards.

Mr. Kratofil provides legal counsel on a wide variety of matters for today’s technology companies, including startup formation and venture capital financing, intellectual property based joint ventures, copyright and trademark protection, software development and licensing, as well as drafting and reviewing various hosting, consulting, procurement, network and systems development contracts. Mr. Kratofil's experience includes complex technology and commercial contracting transactions, technology and software-based mergers and acquisitions, as well as compliance with GLB, HIPAA, state privacy breach notification laws and other privacy directives. Drawing on his technology and business background, Kratofil takes on the role as general counsel for a number of the region’s new and developing technology businesses.

Ms. Mendenhall regularly advises clients with respect to a wide variety of corporate matters, beginning with entity selection and formation and including venture and private equity capital financing, commercial contracting, licensing and joint ventures, mergers and acquisitions and other complex strategic transactions. As a member of Polsinelli's Life Sciences Practice Group, she has significant experience serving clients in the life sciences industry in various stages of their development.

Mr. Edwards has significant experience offering proactive federal and state tax planning for his clients. He regularly advises entrepreneurial-minded clients of tax considerations pertaining to the choice of entity, joint venture structuring, tax compliance, equity raising, and debt restructuring. In the context of pass-through entities, such as partnerships and limited liability companies, he has meaningful experience drafting tax-allocation provisions in a manner that achieves the owners’ tax and economic expectations. He also regularly advises on private placement offerings involving limited partnerships and limited liability companies in a variety of business settings. He applies his skills to a broad spectrum of entities including sole proprietorships, S corporations, C corporations, limited liability companies and partnerships.
